These terms apply to all custom software development, web design, and application programming services provided by Grey Square Private Limited (“Grey Square”, “we”, “us”, or “our”).
1. Project Scope and Quotations
1.1. Scope of Work (SOW): Before work begins, a specific Scope of Work or Proposal will be agreed upon. Any features or requirements not explicitly listed in the SOW are considered “out of scope” and may incur additional charges.
1.2. Quotations: Quotations are valid for 30 days from the date of issue. We reserve the right to adjust pricing if the project requirements change significantly during the discovery phase.
2. Development Process and Milestones
2.1. Phased Approach: Projects are typically divided into milestones (e.g., Design, Development, Testing, Launch).
2.2. Approvals: At the end of each milestone, the Customer will be asked to review and sign off on the work. Once a milestone is approved, any subsequent changes to that section may be treated as a “Change Request” and billed separately.
2.3. Delays: We are not responsible for project delays caused by the Customer’s failure to provide necessary content, feedback, or access credentials in a timely manner.
3. Payment Terms
3.1. Deposit: A non-refundable commencement fee (typically 50% of the total project value) is required before work begins.
3.2. Milestone Payments: Progress payments may be required upon the completion of specific project phases as outlined in your proposal.
3.3. Final Balance: The final balance must be paid in full before the website or software is made “live” or the final code is handed over to the Customer.
4. Intellectual Property (IP)
4.1. Ownership: Upon full and final payment, the ownership of the final front-end design and custom-written code for the project is transferred to the Customer.
4.2. Grey Square Frameworks: We retain ownership of any pre-existing code, proprietary frameworks, or “libraries” used across multiple projects. We grant you a perpetual, non-exclusive license to use these elements as part of your project.
4.3. Open Source: If the project uses open-source software (e.g., WordPress, Laravel), your ownership is subject to the respective open-source licenses.
5. Testing and Bug Fixing
5.1. User Acceptance Testing (UAT): Upon completion, the Customer has 14 days to test the software and report any bugs (errors where the code does not perform as defined in the SOW).
5.2. Warranty Period: We provide a 30-day “Bug-Fix” warranty after launch. Any issues reported after this period or issues caused by the Customer’s own modifications will be charged at our standard hourly rate.
6. Third-Party Services
6.1. We are not responsible for the performance or policies of third-party integrations (e.g., Paynow, EcoCash API, Google Maps, or Hosting Providers).
6.2. Any subscription fees for third-party software or APIs are the sole responsibility of the Customer.
7. Post-Launch Maintenance
7.1. Unless a “Monthly Maintenance Agreement” is signed, Grey Square is not responsible for updating the software, patching security vulnerabilities, or ensuring compatibility with new browser versions after the project is completed.
