These terms govern the use of Bulk SMS and automated messaging services provided by Grey Square Private Limited (“Grey Square”, “we”, “us”, or “our”). By purchasing SMS credits or using our messaging API, you agree to these terms.
1. Service Description
1.1. Messaging Platform: Grey Square provides a platform and gateway for the transmission of SMS messages to mobile networks in Zimbabwe and internationally.
1.2. Credits: Services are provided on a pre-paid basis. SMS credits are purchased in advance and deducted from your account for every message sent.
1.3. Credit Expiry: Unless otherwise stated in your specific package, SMS credits are valid for 12 months from the date of purchase.
2. Acceptable Use and Anti-Spam Policy
2.1. Permission-Based Messaging: You may only send SMS messages to recipients who have explicitly opted-in to receive communications from you.
2.2. Prohibited Content: You are strictly prohibited from sending messages that contain:
- Fraudulent or “phishing” content.
- Threatening, abusive, or defamatory language.
- Promotions for illegal products or services under Zimbabwean law.
- Adult content or gambling promotions (unless specific regulatory approval is provided).2.3. SPAM: Grey Square maintains a zero-tolerance policy toward SPAM. If we receive complaints or detect unauthorized bulk messaging, we reserve the right to suspend your account immediately without a refund.
3. Regulatory Compliance (POTRAZ)
3.1. Sender IDs: All custom Sender IDs (e.g., your company name) are subject to approval by the mobile network operators and regulatory authorities. You may not use a Sender ID that impersonates another brand or entity.
3.2. Opt-Out Requirement: Every marketing message sent must include a clear way for the recipient to opt-out (e.g., “Reply STOP to cancel”).
3.3. Timing: You agree to adhere to industry-standard “quiet hours,” avoiding the sending of non-essential marketing messages during late-night or early-morning hours.
4. Delivery and Network Limitations
4.1. Best Effort Delivery: SMS delivery is subject to the availability and performance of third-party mobile network operators (Econet, NetOne, Telecel). While we ensure the message leaves our gateway, we cannot guarantee 100% delivery to the end device once it enters the mobile network.
4.2. Incorrect Numbers: You will be charged for messages sent to invalid or disconnected numbers provided in your database.
4.3. Character Limits: A standard SMS is 160 characters. Messages exceeding this limit will be treated as “concatenated” and will consume multiple credits.
5. Data Privacy and Security
5.1. Database Ownership: Grey Square does not own, sell, or rent your contact lists. Your database remains your property and is kept confidential.
5.2. Data Processing: We act as a data processor. You are responsible for ensuring that you have the legal right to store and message the individuals in your database under the Data Protection Act of Zimbabwe.
6. Limitation of Liability
6.1. Grey Square is not liable for any financial loss, loss of business, or legal action taken against you resulting from the content or timing of the messages you send.
6.2. Our total liability is limited to the value of the unused SMS credits remaining in your account.
