These General Terms and Conditions (“General Terms”) govern the relationship between Grey Square Private Limited (“Grey Square”, “we”, “us”, or “our”) and the person or entity purchasing or using our services (“Customer”, “you”, or “your”).
By using our website (greysquare.co.zw) or subscribing to any of our services, you agree to be bound by these General Terms, along with our Privacy Policy and any applicable Service-Specific Terms.
1. Definitions and Interpretation
- Agreement: The contract between Grey Square and the Customer comprising these General Terms and any specific Service Schedules.
- Services: Any products, software, or services provided by Grey Square, including but not limited to web hosting, domain registration, software development, and digital marketing.
- Fees: All charges payable by the Customer for the Services as set out in the Order or Invoice.
2. Eligibility and Account Registration
2.1. To use our Services, you must be at least 18 years of age and capable of entering into a legally binding contract under the laws of Zimbabwe.
2.2. You must provide accurate, current, and complete information during the registration process. It is your responsibility to keep your account credentials secure. Grey Square is not liable for any loss resulting from unauthorized access to your account.
3. Provision of Services
3.1. Grey Square will use reasonable endeavors to provide the Services with professional skill and care.
3.2. We aim for 99.9% uptime; however, due to the nature of the internet and infrastructure in Zimbabwe, we do not guarantee that Services will be uninterrupted or error-free.
3.3. We reserve the right to perform scheduled maintenance. We will aim to provide at least 24 hours’ notice via email for any maintenance expected to exceed 30 minutes.
4. Fees, Payment, and Refunds
4.1. Payment: Services are billed in advance. You agree to pay all Fees by the due date specified on your invoice.
4.2. Late Payment: If payment is not received within 7 days of the due date, we reserve the right to suspend your Services without further notice.
4.3. Taxes: All prices are exclusive of VAT and other applicable taxes unless otherwise stated.
4.4. Refunds: We offer a 14-day money-back guarantee on hosting services only. Domain registrations, SSL certificates, and custom software development fees are non-refundable once processed.
5. Intellectual Property
5.1. Our IP: All software, code, graphics, and branding provided by Grey Square remains the exclusive property of Grey Square Private Limited.
5.2. Your IP: You retain ownership of all data, content, and materials you upload to our servers. You grant us a limited license to host and backup this data solely to provide the Services.
6. Acceptable Use and Data
6.1. You must not use our Services for any illegal purpose, including but not limited to hosting malware, sending unsolicited bulk email (SPAM), or infringing on third-party copyrights.
6.2. Backups: While we perform regular disaster recovery backups, it is your ultimate responsibility to maintain a current and functional backup of your own data and website files.
7. Limitation of Liability
7.1. To the maximum extent permitted by law, Grey Square shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.
7.2. Our total liability for any claim arising out of this Agreement shall not exceed the amount paid by you for the specific Service during the three (3) months preceding the claim.
8. Termination
8.1. By You: You may cancel your Services at any time by providing written notice via our support portal.
8.2. By Us: We may terminate this Agreement immediately if you breach any part of these terms, fail to pay fees, or engage in conduct that harms our network or reputation.
9. Force Majeure
Grey Square is not liable for any failure to perform its obligations due to causes beyond our reasonable control, including but not limited to power outages, telecommunication failures, civil unrest, or acts of God.
10. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes shall be subject to the exclusive jurisdiction of the courts in Harare.
11. Amendments
We may update these General Terms from time to time. We will notify you of significant changes by posting the new version on our website or emailing your registered address. Continued use of the Services after changes constitutes acceptance.
